1.1 Hibota: refers to Hibota, a company based in Berlin, Germany, providing physical robots as a managed service for repetitive and night work. 1.2 User: refers to any individual or organization that accesses, contacts, or uses Hibota services, including pilot participants and customers. 1.3 Services: refers to all services provided by Hibota, including but not limited to robot deployment, operation, monitoring, maintenance, and related support.

Scope of Services

2.1 Service Overview: Hibota provides physical robots as a service, starting with autonomous cleaning robots for large facilities. Services may include deployment, configuration, monitoring, maintenance, replacement, and safety procedures. Services may evolve over time. 2.2 No Hardware Sale: Unless explicitly agreed in writing, robots remain the property of Hibota or its partners. Users receive access to the service, not ownership of the hardware. 2.3 Fees: Services may be provided on a pilot, subscription, or contract basis. Pricing and payment terms are agreed separately in writing.

User Obligations and Prohibited Use

3.1 Lawful Use: Users agree to use Hibota services only in compliance with applicable laws and regulations. 3.2 Prohibited Actions: Users must not: - Modify, tamper with, or repair robots or related software; - Override or disable safety mechanisms; - Use robots outside approved environments or purposes; - Use services for unlawful, unsafe, or misleading activities. 3.3 Responsibility: Users are responsible for activities occurring within their facilities and for following agreed safety and operational guidelines.

Data Protection and Privacy

4.1 Data Collection: In the course of providing services, Hibota may collect limited personal and operational data necessary for service delivery, safety, and compliance. 4.2 Data Protection: Hibota applies appropriate technical and organizational measures to protect data and complies with applicable data protection laws, including the EU General Data Protection Regulation (GDPR). 4.3 Data Use: Collected data is used solely for service operation, maintenance, improvement, safety assurance, and legal compliance, as described in the Privacy Policy. 4.4 User Rights: Users have rights regarding their personal data, including access, correction, deletion, and objection, as detailed in the Privacy Policy. 4.5 Third Parties: Hibota may use trusted service providers to support its services. All such providers are contractually bound to comply with applicable data protection laws.

Intellectual Property

5.1 Ownership: All intellectual property related to Hibota services, including robot software, operating procedures, documentation, and interfaces, remains the property of Hibota or its licensors. 5.2 User Data: Users retain ownership of their own data. By using the services, users grant Hibota a limited right to process such data solely for providing the services.

Service Interruption and Termination

6.1 Service Interruption: Hibota strives to provide reliable services but does not guarantee uninterrupted operation. Services may be temporarily suspended due to maintenance, safety concerns, or events beyond Hibota’s control. 6.2 Termination: Hibota may suspend or terminate services if continued operation poses safety, legal, or compliance risks, or if users materially breach these Terms.

Disclaimer and Limitation of Liability

7.1 Service Provision: Services are provided on a commercially reasonable basis. Hibota does not guarantee specific performance outcomes unless explicitly agreed in writing. 7.2 Limitation of Liability: To the maximum extent permitted by German law, Hibota shall not be liable for indirect, incidental, or consequential damages arising from the use of the services. 7.3 Indemnification: Users agree to indemnify Hibota against claims arising from misuse of the services or violation of these Terms.

Governing Law and Dispute Resolution

8.1 Governing Law: These Terms are governed by the laws of the Federal Republic of Germany. 8.2 Jurisdiction: Any disputes arising from these Terms shall be subject to the jurisdiction of the courts in Berlin, Germany, unless mandatory law provides otherwise.

9.1 Updates: Hibota may update these Terms from time to time. Updated Terms will be published on the website and take effect upon publication. 9.2 Continued Use: Continued use of the services after changes become effective constitutes acceptance of the updated Terms.
